2. Our Contract

• This Platform is entitled to assign this Agreement, and all rights and obligations hereunder, to a successor to all or any of its assets, whether by sale, merger or otherwise. These terms shall be binding upon and shall inure to the benefit of the parties hereto and their respective representatives, heirs, administrators, successors and permitted assigns except as otherwise provided herein.
• This Platform reserves the right to update, change, modify, add or remove the terms, conditions and notices of the Agreement without any prior notice to you. It is your responsibility to periodically review the most current version of the Agreement as your continued use of this Platform signifies your acceptance of any changed terms. As long as you comply with these Terms & conditions, we grant you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Platform


15. RedkafalMart Platform and its Services
• RedkafalMart is a SaaS (Software as a service) application for business listing that promotes information and exchanges among its users.
• RedkafalMart allows any user with a valid mobile number to list its business / profession on the platform for other users to search and contact them.
• RedkafalMart or CodeBlock shall not be a party to any negotiations, agreement or deals between the Users.
• RedkafalMart or CodeBlock does not control and is not liable in respect of or responsible for the quality, safety, genuineness, lawfulness or availability of the products or services offered on the Web Site or the ability of the User(s) supplying the goods or services to complete a sale or the ability of User(s) purchasing goods or services to complete a purchase.
• The Information is provided “as is” with no guarantee of completeness, accuracy, timeliness or of the results obtained from the use of the Information, and without warranty of any kind, express or implied, including, but not limited to warranties of performance, merchantability and fitness for a particular purpose. Nothing contained in the Agreement shall to any extent substitute for the independent investigations and judgment of the User(s).

16. IPR
• RedkafalMart is the sole owner and the lawful licensee of all the rights to the Web Site and its content ("Web Site Content"). Web Site Content means the design, layout, text, images, graphics, sound, video etc. of or made available on the Web Site. The Web Site Content embodies trade secrets and other intellectual property rights protected under worldwide copyright and other applicable laws pertaining to intellectual property. All title, ownership and intellectual property rights in the Web Site and the Web Site Content shall remain in RedkafalMart, its affiliates or licensor’s of the Web Site content, as the case may be.
• "RedkafalMart" and related icons and logos are registered trademarks or trademarks or service marks of RedkafalMart/CodeBlock in various jurisdictions and are protected under applicable copyright, trademark and other proprietary and intellectual property rights laws. The unauthorized adoption copying, modification, use or publication of these marks is strictly prohibited.
• RedkafalMart respects the intellectual property rights of others, and we expect our User(s) to do the same. User(s) agree to not copy, download or reproduce the Web Site Content, Information or any other material, text, images, video clips, directories, files, databases or listings available on or through the Web Site ("RedkafalMart Content") for the purpose of re-selling or re-distributing, mass mailing (via email, wireless text messages, physical mail or otherwise) operating a business competing with RedkafalMart, or otherwise commercially exploiting the RedkafalMart Content unless otherwise agreed between the parties. Systematic retrieval of RedkafalMart Content to create or compile, directly or indirectly, a collection, compilation, database or directory (whether through robots, spiders, automatic devices or manual processes) without written permission from RedkafalMart is prohibited.

17. Pricing and Subscriptions
• RedkafalMart offers business listing services, premium and add-on services, where businesses can subscribe to these features and services by paying for the same. RedkafalMart, at its sole discretion, may add and/or modify features, vary the prices for the plans or may decide to discontinue one or more features or the complete plan.
• RedkafalMart reserves the right to terminate this agreement and/or subscription in case of default by User(s) of any terms of this Agreement. • RedkafalMart may offer discounts to businesses for purchasing in bulk or annual payments, and RedkafalMart may also issue discount vouchers, marketing promotional vouchers to the businesses and the users at its sole discretion.

18. Refunds and Cancellations
• Any user who is on a premium plan and wishes to cancel the subscription, may do so from the platform or may connect with customer support in case of any queries. The request for cancellation of subscriptions is registered and the plan is downgraded at the end of the current subscription cycle. There are no refunds being issued for the remaining period.
• If a user’s plan has expired because of any reason including but not limited to non realization of payment (decline from bank, insufficient funds, cancellation of SI by the user etc), User’s plan is automatically downgraded. This action may impact one or more listings and its promotions created by the user, the impact may include disable of the listing and promotions.
• RedkafalMart platform may generate automatic reminders to the user about the expirations, however it is the responsibility of the user to track its plan and listings.

19. User Eligibility
• You confirm that you are of legal age i.e. 18 years to form a legally binding contract with RedkafalMart and are not a person barred from availing the services offered by RedkafalMart under the laws as applicable in India.

20. Content (Review, Ratings and Feedbacks etc) created by the Users
• RedkafalMart allows its users to rate and review its experience dealing with a business. A user may or may not have availed any services or brought a product from a particular business, however may still be able to rate it and submit its comments. By Listing on the platform, you agree to be part of the user feedback system.
• You hereby discharge RedkafalMart of any liability arising out of any content generated by any user on the platform including adverse feedbacks, reviews about your business.

21.Responsibility of Platform Visitors
You acknowledge that:
• RedkafalMart has not reviewed, and cannot review, all of the material, including computer software, posted to the platform, and cannot therefore be responsible for that material's Content, use or effects. By operating this Platform, RedkafalMart does not represent or imply that it endorses the material they posted, or that it believes such material to be accurate, useful or non-harmful. You are responsible for taking precautions as necessary to protect

22. Ownership of Data
• When participating in any of this Platform's service, you may provide us with information about yourself and / or products and services listed. You grant RedkafalMart exclusive rights in all of this information, and all information derived or generated from it, in all existing or future media. These rights include but are not limited to the right to display your information anywhere on this Platform's services and media properties, to search the information, to repackage and resell it to anyone for any reason. As used in this paragraph, information includes but is not limited to data, text, photographs, drawings, sound recordings, feedback, and any other information or data displayed or presented in connection with your listings on this Platform.
23. Contact details submitted on forms
• RedkafalMart may contact its registered users to provide details of its offerings. By creating the account on RedkafalMart, you authenticate RedkafalMart to contact you at the telephone number or email provided by you, even if you have previously registered on a Do Not Dial registry or requested RedkafalMart or its agents to not send marketing or other information by phone or email.
• The User by signing in this Platform hereby unconditionally consents to receive calls / SMS's from RedkafalMart in accordance with the 'Do not disturb' guidelines of Telecom Regulatory Authority of India (TRAI) or such other authority in India and abroad. RedkafalMart further reserves the right to send emails and SMS's related to any order / communication by the Users on this Platform and the Users agrees that the same will not tantamount to spam.
• The same conditions are also applicable for the persons who have reached out to RedkafalMart support by submitting their contact details.

24. Relationship
• There is no agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship between RedkafalMart and any User / Service Provider on the Platform.

25.A Right of Suspension & Right of Termination
• If at any point of time RedkafalMart finds that the information provided by you in your business profile or in any of the promotions or at any other place on the platform is false or derogatory or obscene or inappropriate, RedkafalMart reserves the right to suspend your account and may ask for the corrective measures to prevent such incidents in future, or may directly terminate your account without giving any prior notice.
• You agree that RedkafalMart, on its sole discretion, may terminate any use of the Service / delete the product listing immediately and without any prior notice.
• If at any point of time, RedkafalMart observes any suspicious activity from any user account, RedkafalMart reserves the absolute right to block such user, user accounts, devices etc and terminate the account without giving any prior notice.

26. Registered or Unregistered Business / Professionals
• RedkafalMart platform allows its users, small business owners and professionals to create a business profile and list their offerings/products to the users accessing this platform. RedkafalMart may or may not verify the documents pertaining to the legal incorporation of a business or registered or operational place of business or other tax registrations. It is the responsibility of the business owners / professionals to comply with the government regulations in relation to the operation of the business as per law of the land.

27. Expertise of a Professional / Business
• RedkafalMart platform provides a listing product/service for business owners and professionals, however it is the responsibility of the user to check the expertise, acumen, experience, credibility, registration and qualification of a business owner / business / professional before hiring his/her services or buying a product. Any dispute and/or liability arising from the incompetence of a professional or business shall be between the user and the professional / business and RedkafalMart shall have no liability whatsoever in this regards.

28. Use of any physical force against the employees of RedkafalMart

• No person shall subject the directors, employees, affiliates, agents, representatives or subcontractors of RedkafalMart to any physical harassment, intimidation, threats, coercion, confinement or use of criminal force, during the course of their business or in connection with the business. Any such act would lead to an automatic cancellation of any current and/or pending transaction being done by such person through this Platform. This shall be in addition to and without prejudice to all our further remedies at law.

29. Indemnification


You hereby agree to indemnify, defend and hold harmless RedkafalMart, its successors, assigns, affiliates, agents, directors, officers, employees and shareholders from and against any and all claims, obligations, damages, losses, expenses, and costs, including reasonable attorneys' fees, resulting from:

• RedkafalMart shall not be liable for any indirect, special, incidental or consequential damages arising in connection with the free or any products. In any case, RedkafalMart’s total liability shall not exceed the total fees paid by a customer for the Products.

• - Any violation by you of these Terms of Use.
• - Any third party claim of infringement intellectual property rights or invasion of privacy arising from the hosting of your business or your personal details on the Platform, and/or your making available thereof to other Users of the Platform, and/or the actual use of your business or personal by other Users of the Platform or linked services in accordance with these Terms of Use;
• - Any activity related to your account, be it by you or by any other person accessing your account with or without your consent unless such activity was caused by the act or default of RedkafalMart.

30. Limitation of Liability


• RedkafalMart shall not be liable for any indirect, special, incidental or consequential damages arising in connection with the free or any products. In any case, RedkafalMart’s total liability shall not exceed the total fees paid by a customer for the Products.

31. Applicable Law and Dispute Resolution

• If any dispute, controversy or claim arises out of, or in relation to, or in connection with this Agreement or its termination or validity, the parties shall attempt to mutually resolve the same through mediation.
• However, if the parties fail to resolve the above dispute within a period of 30 days, the same shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.
• The arbitration shall be conducted by a sole arbitrator, appointed by RedkafalMart. The place of arbitration shall be in Delhi, India and it shall be conducted in English.
• The award of the arbitrator shall be final, conclusive and binding upon the parties
• The courts in Delhi shall have exclusive jurisdiction in relation to any dispute arising between the User and the RedkafalMart.
• The Users agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of this Platform or these Terms and Conditions must be filed within one (1) year. Any claim or cause of action which may arise or is filed after a period of one year from the date of transaction shall not be entertained and shall be barred.
